1. Introduction

These Terms and Conditions ("Terms") govern the use of this website and the provision of services by PS Brandfluence, a company based in the Czech Republic ("Agency", "we", "us", or "our"). By accessing this website or engaging our services, you ("Client", "you") agree to be bound by these Terms.

If you do not agree with these Terms, please do not use our website or services.

2. Scope of Services

The Agency provides influencer marketing–related services, including but not limited to:

• Influencer discovery and outreach
• Campaign strategy and management
• Negotiation and coordination with influencers
• Performance reporting and consulting

The exact scope of services will be defined in a separate written agreement, proposal, or statement of work ("Agreement"). These Terms apply in addition to any such Agreement.

3. Client Obligations

The Client agrees to:

• Provide accurate, complete, and timely information necessary for the delivery of services
• Ensure that all materials, products, and instructions supplied to the Agency comply with applicable laws and regulations
• Cooperate in good faith throughout the duration of the project

The Agency shall not be liable for delays or failures caused by incomplete or inaccurate information provided by the Client.

4. Influencer Relationships

The Agency acts as an intermediary between the Client and influencers unless otherwise agreed in writing.

Unless explicitly stated:

• Influencers are not employees, agents, or representatives of the Agency
• The Agency does not guarantee specific results, reach, engagement, or sales outcomes
• Final creative control may rest with influencers, subject to agreed campaign guidelines

5. Fees and Payment

Fees, payment terms, and invoicing details shall be specified in the applicable Agreement.

Unless otherwise stated:

• All fees are exclusive of VAT and other applicable taxes
• Invoices are payable within the stated due date
• Late payments may result in suspension of services

6. Intellectual Property

Unless otherwise agreed:

• All pre-existing intellectual property remains the property of the respective owner
• Upon full payment, the Client is granted a non-exclusive, non-transferable license to use deliverables created specifically for the campaign
• Influencer-generated content usage rights are subject to the terms agreed with each influencer

The Client is responsible for ensuring proper usage of influencer content beyond the agreed scope.

7. Confidentiality

Both parties agree to keep confidential any non-public business, financial, or strategic information disclosed during the cooperation, unless disclosure is required by law.

This obligation survives the termination of the cooperation.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Agency shall not be liable for indirect, incidental, or consequential damages
• The Agency's total liability shall not exceed the total fees paid by the Client for the specific services giving rise to the claim

The Agency is not responsible for the actions, omissions, or content of influencers or third-party platforms.

9. Termination

Either party may terminate the cooperation:

• As specified in the Agreement, or
• Immediately in case of material breach by the other party

Termination does not affect accrued payment obligations or rights already granted.

10. Data Protection

The Agency processes personal data in accordance with applicable data protection laws, including the GDPR. Details on data processing are available in the Privacy Policy.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Czech Republic.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of the Czech Republic, unless otherwise required by mandatory law.

Miscellaneous

• The Agency may update these Terms at any time; the latest version will be published on the website
• If any provision is held invalid, the remaining provisions shall remain in effect
• These Terms constitute the entire agreement regarding website use unless supplemented by a separate Agreement
